Corporate Responsibility - Overview

Crew Gold believes that a connection exists between high-quality corporate governance, sustainable business performance and the highest ethical standards. We foster a culture that values and rewards exemplary ethical standards, personal and corporate integrity, and respect for others. This culture has two main tenets: one, meeting worldwide demands for greater corporate accountability; and, two, translating into action our commitment to sound corporate governance.

Our CEO, holds delegated authority from the Board to achieve all corporate objectives, except those matters the Board has retained for its own decision making. The Board Corporate Governance Charter specifies that the CEO will not allow decisions or actions to be taken without assessing their impact on health, safety, environment and community (HSEC).

The CEO delegates authority to committees and individual members of management but remains accountable to the Board for the authority delegated to him.

Central to our business is our Charter, which states our 'overriding commitment to health, safety, environmental responsibility and sustainable development'.

Structure of our Corporate Responsibility Bodies

  • The Corporate Governance Committee of the Board oversees HSEC matters across Crew Gold worldwide.
  • Business line management assumes the primary responsibility and accountability for HSEC performance.
  • The Corporate Office provides advice and guidance directly, as well as through a series of networks across the company.

Corporate Governance Committee of the Crew Board

The Company's Corporate Governance Committee (CGC) is a sub-committee of the Board and is assisted in its responsibilities by our Audit Committee.

The CGC oversees:

  • HSEC risks;
  • Our compliance with applicable legal and regulatory requirements associated with HSEC matters;
  • Our performance in relation to HSEC matters; and
  • The performance and leadership of the sustainable development function.
